The charter of the Russian Satellite Communications Company

approved by minister for communications and informatization - mr. L.D.Reiman - 21.03.2001 and coordinated with the Ministry of property relations of RF 14.03.2001

1. General provisions

1.1.   The Russian Federal State Unitary Enterprise "Russian Satellite Communications Company", hereinafter referred to as "Company", was set up under the name of "Production Association "Satellite Communications" in conformity with the order of the USSR Ministry of Communications No. 685 dated December 21, 1987 by way of reorganizing The Union Communications Node No.9 and its affiliated entities into the Production Association "Russian Satellite Communications Company". The Union Communications Node No.9 acting under the USSR Ministry of Communications was established by the USSR Ministry for Communications in conformity with the order No.134 dated March 15, 1979. The Production Association "Russian Satellite Communications Company" was registered in Moscow record department under the Moscow Government on January 2, 1992 in the registry of Moscow enterprises under No.006.938 and renamed on March 02,1995 for "The Russian Satellite Communications Company".
 
1.2. The Company official name:

    abbreviated name - RSCC.
1.3. The Company is a commercial entity.
 
1.4. The Company is subordinated to the Ministry of Communications and Informatization of the Russian Federation (hereinafter referred to as "Executive body") The functions of the Company founders are performed by the Ministry of Property Relations of the Russian Federation (hereinafter referred to as "Federal State Property Control Body") and by the Executive Body under the applicable law of the Russian Federation.
 
1.5. The Company is a legal entity. The Company has its own balance, settlement account and other bank accounts, round seal with the Company official name, stamp, headed note-papers, trade mark.
 
1.6. The Company bears responsibility for its obligations in the form of all property it owns. The Company does not bear responsibility for the obligations undertaken by its affiliated entities, the government or the governmental bodies, while the Company's affiliated entities do not bear responsibilities for the obligations undertaken by the Company except for the obligations under the applicable Law of the Russian Federation.
 
1.7. The Company, on its behalf, acquires property rights, personal non-property rights, bears responsibility, acts as a plaintiff and defendant in court including arbitration court under the applicable Law of the Russian Federation.

2. Objectives and scope of activities

2.1.   The Company was established to satisfy public needs by rendering its services and to generate profits.
 
2.2. To achieve the objectives mentioned in paragraph 2.1 hereof, the Company performs the following types of activities ("scope of activities of the Company") in conformity with the regulations imposed by the Russian Federation Law:
  • the functions of a body, authorized by the Communications Administration, across the whole territory of Russian Federation to coordinate the issues related to setting-up, commissioning and maintenance of national and foreign technical communication facilities, that operate in domestic and foreign satellite communication systems within the territory of the Russian Federation in accordance with the provisions of international and intergovernmental agreements; The Company is a plenipotentiary representative of the Russian Communications Administration in international satellite communication establishments, such as "Intelsat", "Eutelsat", "Intersputnik", the Company is authorized to sign operating documents;
  • arrangement of applications, orders, funding, launching, control, insurance and operation of communication satellites in coordination with the Russian Communications Administration;
  • provision of any services and performance of any activities in satellite, telecommunication and other communication areas , including:
    • Leasing of terrestrial and satellite group channels, communication and broadcasting channels, which can be used for the purposes of international, long-distance, regional, zone and local dedicated networks;
    • Telephone communication services: international, long-distance, in-zone and local calls;
    • Telematics and data transfer;
    • Live TV and voice transmission;
    • Establishment and maintenance of cellular and trunk communication systems;
    • Setting-up of telephone, TV and broadcasting channels by applying satellite communication and broadcasting mobile stations;
    • Leasing of cable and radio-relay communication links;
    • Leasing of unengaged physical circuits (fibers) of fiber-optic links;
    • Testing and verification of radio-relay hardware of Russian and foreign communication satellites;
    • Provision of satellite segment capacity, Earth stations, communication links at free market prices and according to regulable tariffs and costs;
    • Monitoring and control over access to satellite segments both in Russian and foreign broadcasting and communication systems;
    • Implementation of all the accounting with foreign communication administrations, companies and international establishments;
    • Operation of satellite broadcasting and communication mobile systems, that use satellites of various orbital parameters;
    • Registration and coordination of the satellite communication means of terrestrial and space segments;
    • Access and control over the utilization of satellite segments;
  • Construction, assembly, installation, testing, adjustment, commissioning and maintenance of satellite communication ground facilities;
  • Operation of satellite communication and TV-broadcasting systems. The attitude control of spacecraft;
  • Feasibility study and other examinations.
